Lightdune LLC develops and operates a portfolio of independent software products. These Terms govern your use of any product, service, website, or application operated by Lightdune LLC (collectively, the “Services”), unless a specific product provides its own separate terms of service, in which case those product-specific terms take precedence for that product.
By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Lightdune LLC operates multiple software products under separate brand names. Each product may serve a different market and audience. The Company may add, modify, or discontinue products at its discretion.
Individual products may have additional terms, acceptable use policies, or service-level agreements. Where product-specific terms exist, they supplement these Terms. In the event of a conflict between these Terms and product-specific terms, the product-specific terms govern for that product.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. If you are using the Services on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
Some Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. All content, software, designs, text, graphics, logos, trademarks, and other materials provided through the Services are the property of Lightdune LLC or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms.
You retain ownership of any data or content you upload to or create within the Services (“User Content”). By submitting User Content, you grant Lightdune LLC a limited license to store, process, and display that content solely as necessary to provide the Services to you.
Certain Services or features may require payment of fees. All fees are stated at the time of purchase or subscription and are denominated in United States dollars unless otherwise specified. Fees are non-refundable except where required by law or as explicitly stated in a product-specific refund policy.
We reserve the right to change pricing with reasonable advance notice. Continued use of a paid Service after a price change constitutes acceptance of the new pricing.
Products distributed through third-party platforms (including the Shopify App Store) are subject to the billing and refund policies of those platforms.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.
The Services may integrate with or contain links to third-party services, platforms, or websites. Lightdune LLC is not responsible for the availability, content, or practices of third-party services. Your use of third-party services is governed by their respective terms and policies.
We strive to maintain reliable service availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify active subscribers before discontinuing a paid Service.
The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Lightdune LLC does not warrant that the Services will meet your specific requirements, that results obtained from the Services will be accurate or reliable, or that any errors in the Services will be corrected. Use of the Services is at your sole risk.
Where our products provide compliance-related information, alerts, monitoring data, or generated reports, such outputs are informational tools intended to assist qualified professionals. They do not constitute legal, regulatory, environmental, financial, or professional advice. You are responsible for verifying all information and for your own compliance obligations.
To the maximum extent permitted by applicable law, Lightdune LLC and its officers, members, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, resulting from:
In no event shall our total aggregate liability exceed the greater of (a) the amount you paid to Lightdune LLC for the specific Service giving rise to the claim during the twelve (12) months preceding the event, or (b) one hundred United States dollars ($100).
You agree to indemnify, defend, and hold harmless Lightdune LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in the State of Washington, and you consent to the personal jurisdiction and venue of such courts.
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days following written notice of the dispute.
You may stop using the Services at any time. For products with paid subscriptions, cancellation procedures are described within the product or its documentation.
We may suspend or terminate your access to the Services at any time for cause, including breach of these Terms, fraudulent activity, or extended inactivity. Where practicable, we will provide notice before termination and an opportunity to export your data.
Provisions that by their nature should survive termination shall survive, including but not limited to Sections 6, 11, 12, 13, and 14.
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, for active account holders, provide notice through the applicable Service or via email. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between you and Lightdune LLC regarding the Services and supersede all prior agreements and understandings.
